Acceptable Use Policy

This Acceptable Use Policy supersedes and replaces all prior versions.
1. Introduction
This Acceptable Use Policy ("AUP") governs the use of all information technology services, systems, and infrastructure provided by Neuron Computer Services, LLC ("Neuron," "we," "us," or "our") to you, the client ("Client," "you," or "your"). This AUP is incorporated by reference into and forms part of your Master Services Agreement, Terms & Conditions, Service Order, Invoices, Quotes, and any associated Service Attachments (collectively, the "Agreement").
By using our Services, you acknowledge that you have read, understood, and agree to comply with this AUP. You are responsible for ensuring that all individuals within your organization — including employees, contractors, and authorized users — also adhere to this policy.
Neuron reserves the right to suspend or terminate Services in accordance with the Agreement if any member of your organization violates this AUP. Neuron may update this AUP at any time and for any reason at its sole discretion. While we may notify you of material changes, it is your responsibility to review this policy periodically for updates throughout the term of the Agreement.
2. Scope of Services
This AUP applies to all managed IT services provided by Neuron, including but not limited to:
- Managed network monitoring and administration
- Cloud infrastructure and hosted environments
- Email and messaging platforms
- Endpoint management and security
- Backup and disaster recovery systems
- Remote access and VPN services
- Any hardware, software, or systems provisioned or maintained by Neuron on your behalf
3. Prohibited Conduct
You agree not to use, nor permit any authorized user to use, the Services to engage in, facilitate, or promote any of the following:
3.1 Illegal or Harmful Activity
- Gaining unauthorized access to any data, system, network, or account that does not belong to you, whether by circumventing security controls or by any other means without the explicit permission of the owner
- Disrupting, degrading, or interfering with the ability of any other Neuron client to access or use their services
- Harvesting, collecting, or transmitting personal information — including email addresses, usernames, or other identifiers — without the informed consent of the individuals involved
- Forging, falsifying, or misrepresenting message headers, metadata, sender identities, or routing information in any electronic communication sent through the Services
- Distributing software or executable files to any end user without first obtaining their clear and affirmative consent to the download and installation
- Engaging in or coordinating any activity that is reasonably likely to provoke retaliation against Neuron, its Services, or its officers, employees, or agents
3.2 Prohibited Content
You shall not publish, transmit, store, or link to any content on systems or networks operated by Neuron that, in our reasonable judgment:
- Involves the sexual exploitation of minors, non-consensual intimate imagery, or bestiality
- Promotes, incites, or threatens violence, or constitutes harassment, bullying, or hate speech directed at any individual or group
- Is misleading, deceptive, or fraudulent in violation of any applicable consumer protection statute
- Is defamatory, libelous, or violates the privacy rights of any individual
- Endangers the safety or well-being of any person, or obstructs or interferes with a law enforcement investigation
- Discloses trade secrets, proprietary information, or other confidential data belonging to a third party without authorization
- Is designed to circumvent, defeat, or undermine digital rights management or copyright protection mechanisms
- Infringes upon any copyright, trademark, patent, trade dress, or other intellectual property right of a third party
- Facilitates, promotes, or solicits any activity that is unlawful under applicable federal, state, or local law
- Is otherwise malicious, fraudulent, or intended to harass, intimidate, or threaten any person or entity
4. Email and Electronic Messaging
- You shall not use any email, messaging, or collaboration platform provided or managed by Neuron to distribute unsolicited bulk messages, spam, or commercial email that does not comply with applicable law
- You must comply with all applicable federal and state regulations governing electronic communications, including the CAN-SPAM Act and any successor legislation
- Neuron reserves the right — but is not obligated — to monitor outbound messaging for compliance and to block or quarantine messages that violate applicable regulations or this AUP
- You shall not use the Services to send communications to any individual who has opted out of or otherwise indicated they do not wish to receive such messages
5. Network and System Integrity
- You shall not probe, scan, or test the security or vulnerability of any system, network, or infrastructure owned or operated by Neuron, unless such testing is conducted on a dedicated environment provisioned exclusively for your organization and you have received prior written authorization from Neuron
- You shall not attempt to bypass, defeat, or circumvent any authentication, access control, or security mechanism maintained by Neuron on any of its systems or networks
- You must comply with the acceptable use policies and rules of any third-party network or service that you access through the Services
- Neuron may restrict or prohibit the streaming or broadcasting of live events through its infrastructure where, in its sole judgment, such activity creates a risk of violating any provision of this AUP
6. Shared and Multi-Tenant Resources
- You shall not use any shared or multi-tenant system provided by Neuron in a manner that unreasonably interferes with the normal operation of that system, or that consumes a disproportionate share of system resources to the detriment of other users
- Neuron reserves the right to quarantine, isolate, or remove any data stored on shared infrastructure if that data is found to be infected, corrupted, or otherwise poses a risk of harm to the system or to data belonging to other clients
- You are responsible for ensuring that any software, files, or data you upload to shared systems is free of viruses, malware, ransomware, and other malicious code
7. Domain Names and DNS
- You must maintain accurate, current, and complete registration information with your domain name registrar for any domain hosted on or pointed to Neuron infrastructure
- If you configure DNS records on Neuron-operated systems for a domain for which you are not the registrant or authorized administrative contact (as reflected in WHOIS or RDAP records), Neuron may modify, transfer, or remove those records upon request from the domain's rightful registrant or administrative contact
8. Security Responsibilities
- You are responsible for safeguarding all credentials, passwords, API keys, and access tokens associated with your use of the Services, and for promptly reporting any suspected compromise to Neuron
- You shall not share login credentials among multiple individuals unless the Service is explicitly designed for shared access
- You agree to promptly install or permit the installation of security updates, patches, and firmware updates recommended or required by Neuron as part of the managed services
- You shall cooperate with Neuron in good faith in the investigation and remediation of any security incident that affects your systems, data, or the broader Neuron environment
9. Compliance and Legal Obligations
- You are solely responsible for ensuring that your use of the Services complies with all applicable federal, state, and local laws and regulations, including but not limited to data protection, privacy, export control, and industry-specific requirements (e.g., HIPAA, PCI DSS, FERPA, CMMC)
- Neuron does not serve as your compliance officer, legal counsel, or regulatory advisor; our provision of managed services does not guarantee or constitute compliance with any legal or regulatory framework
- You agree to promptly notify Neuron if you become aware of any legal, regulatory, or contractual obligation that materially affects how the Services may be used or delivered
10. Monitoring and Enforcement
- Neuron reserves the right to monitor the use of its Services, systems, and networks for the purposes of ensuring compliance with this AUP, maintaining system performance, and protecting the security and integrity of its infrastructure
- Monitoring may include, but is not limited to, reviewing system logs, network traffic patterns, and resource utilization data
- Neuron will handle any data observed during monitoring in accordance with our Data Processing Agreement and applicable privacy laws
11. Consequences of Violation
Violations of this AUP may result in one or more of the following actions, at Neuron's sole discretion:
- Issuance of a written warning requesting immediate corrective action
- Temporary suspension of some or all Services until the violation is resolved
- Removal or quarantine of offending content or data
- Permanent termination of the Agreement and all associated Services
- Reporting of illegal activity to appropriate law enforcement authorities
Where feasible, Neuron will endeavor to provide reasonable notice before taking enforcement action. However, Neuron reserves the right to take immediate action without prior notice where a violation poses an imminent threat to the security, integrity, or availability of its systems or to the safety of any individual.
12. Reporting Violations
If you become aware of any activity that you believe violates this AUP, please report it promptly to:

13. Limitation of Liability
Neuron shall not be held liable for any damages, losses, or costs arising from the enforcement of this AUP, including but not limited to suspension or termination of Services, removal of content, or reporting to law enforcement. You agree to indemnify and hold Neuron harmless from any claims, damages, or expenses resulting from your violation of this AUP or your use of the Services in a manner inconsistent with the Agreement.
14. Policy Updates
Neuron may revise this AUP at any time to reflect changes in our services, applicable law, industry standards, or security best practices. The most current version of this AUP will be published on our website at neuroncomputers.com/legal. Continued use of the Services following any update constitutes your acceptance of the revised terms.
